Preamble:

Participate Group AG (hereinafter referred to as "PGAG") is a Swiss stock corporation domiciled in the Canton of St. Gallen. The match4capitalinformation portal (hereinafter referred to as "match4capital") operated by PGAG provides an Internet service for information and contact opportunities to various domestic and foreign corporations (hereinafter referred to as "corporations") that offer persons or companies (hereinafter referred to as "investors") interested in investment opportunities for the realization of their corporate objectives a participation in the equity of their corporations .

Investors can use the platform to find various KapGs as providers of such equity investments, obtain initial brief general information and register for participation in information webinars organized by the individual KapGs .

In addition, persons or companies who wish to establish contact between a person or company interested in information can register via the portal as a tipster (hereinafter referred to as "Tipster") in order to receive a tip fee as commission in the event of an investment relationship between a KapGes and an investor that may arise as a result of his or her contact mediation.

The following General Terms and Conditions (hereinafter referred to as "GTC") govern the rights and obligations when using the services of match4capital. No other terms and conditions apply unless they are expressly stated in the following provisions.

§ 1 Object of the service

the match4capitalportal serves exclusively for initial information and presentation of various KapGs.
All information published by match4capitalabout private equity companies has been provided by the respective private equity companies themselves and has only been clearly structured by match4capital. For this reason, match4capitalassumes no liability for the accuracy of this information.
The contacting of potential investors via information events of the respective KapGes is carried out by these persons independently and without the involvement of match4capital. match4capitalmerely provides the registration link for the respective events.

§ 2 Assessment of the information presented

The presentation of the various private equity companies on the match4capitalportal does not constitute an advisory service of any kind, whether tax, legal or investment advice, nor does it constitute any kind of assessment or brokerage of a capital product.
match4capitalexpressly points out that investments in start-ups or other capital companies with oversized innovation potential always involve a particularly large opportunity but also risk potential and that such investments can entail a high risk of loss up to total loss.
The potential investor uses the match4capitalportal exclusively for initial information and to make a decision about the desired contact with various private equity companies .
The potential investor is aware that his decision to invest is based solely on the information and contractual documents provided to him directly by the respective KapGes .

§ 3 Final provisions

Swiss law shall apply. This choice of law includes contractual and non-contractual claims. St.Gallen (Switzerland) is the place of jurisdiction for all claims, regardless of their legal nature. The place of performance for all obligations arising from this agreement is the registered office of PGAG.
Should individual provisions of these General Terms and Conditions be or become invalid or unenforceable (irrespective of the legal grounds), this shall not affect the validity and enforceability of the remaining provisions of these General Terms and Conditions. The invalid/unenforceable provision shall be replaced by a provision that comes as close as possible to the economic intent of the invalid/unenforceable provision in a legally permissible manner. The same shall apply if a gap requiring supplementation should become apparent during the execution of this agreement. In this case, all parties shall make a corresponding provision.
